We’re flexible and creative in our deal structures. Our typical deal structures include a combination of debt, equity, seller notes, earn-outs and tiered exits. We design the deal with you - not around a fund’s return profile.
Competitive market valuations
In terms of valuations, we’re competitive with the market. We offer 4-8x EBITDA for service businesses, 3-5x ARR for tech, and for tech-enabled hybrids, we blend both approaches. We typically target businesses in the £10-£50M range, but we can stretch up to £100M in the right situations.
Our approach
Confidentiality & Initial Information Review
After our first introductory call with an owner, we execute a non-disclosure agreement (NDA) and review high-level business information (financial summaries, business overview, growth drivers and risks). At this stage, we screen for deal-breakers before investing time and money from both parties.
Offer & Exclusivity
Based on initial analysis, we submit a letter of intent (LOI), this is an indication of interest outlining valuation, structure, financing assumptions, and key conditions. At this stage, we also submit a proof of funds document to the owner’s advisors.
Due Diligence & Deal Structuring
We conduct detailed financial, legal, tax, and operational diligence while securing financing. Any issues discovered may result in price adjustments, escrow/holdbacks, or revised deal terms.
Closing & Transition Planning
Final agreements are executed, funds are transferred, and ownership changes hands. We coordinate employee, customer, and vendor transitions and begin executing the post-close operating plan.
